Non-Exclusive License
NON-EXCLUSIVE LICENSE AGREEMENT
This Non-Exclusive License Agreement (the “Agreement”) is entered into as of the date of purchase (the “Effective Date”), by and between the seller and copyright owner (the “Licensor”) and the purchaser (the “Licensee,” referred to as “you”).
This Agreement governs the terms under which the Licensee is granted rights to use the specific vocal and/or audio files purchased from EDMvocals.com (the “Audio”). These rights are granted in exchange for payment of the license fee at the time of purchase.
A. LICENSE FEE & AGREEMENT EFFECTIVENESS
This Agreement becomes binding upon successful completion of checkout on EDMvocals.com or any authorized sales platform.
The Licensee shall pay the full license fee prior to receiving any rights under this Agreement.
B. DELIVERY OF FILES
The Licensor will deliver the Audio via download link or email to the Licensee using the contact information provided at checkout.
C. TERM
This license is granted in perpetuity and does not expire, subject to compliance with all terms of this Agreement.
D. LICENSED USES
The Licensee is granted a non-exclusive, non-transferable, worldwide license to incorporate the Audio into one (1) new original musical composition (the “New Song”).
The New Song may include original musical material written, produced, or owned by the Licensee, combined with the licensed Audio.
This license does not permit the Licensee to resell, repackage, distribute, or share the Audio as-is or as part of a sample library or toolkit.
E. GENERAL TERMS
This license is non-exclusive: the same Audio may be licensed to other purchasers.
The Licensee may not register the Audio or the New Song with content identification systems (e.g., YouTube Content ID). Doing so may interfere with other licensees' usage rights and will result in immediate termination of this Agreement.
This license is non-transferable: it may not be assigned or sublicensed to any third party.
F. PERMITTED USES
Subject to the terms herein, the Licensee may:
Distribute the New Song as a free download an unlimited number of times.
Sell the New Song in digital or physical format without limitation.
Upload and stream the New Song on music streaming services (e.g., Spotify, Apple Music, Tidal) with no cap on stream count.
Upload and stream the New Song on video platforms (e.g., YouTube, Vimeo) with no cap on views.
Broadcast the New Song on radio, including terrestrial, satellite, and internet radio, without restriction.
Synchronize the New Song with visual media (films, TV, ads, video games, apps, etc.).
Publicly perform the New Song in live or recorded settings.
However, you MAY NOT:
Distribute or stream the raw Audio files without combining them into a new composition.
Claim ownership of the Audio or pass it off as your original work.
Use the Audio to create or sell sample packs, loops, or similar derivative products unless granted written permission.
G. OWNERSHIP & COPYRIGHT
The Licensor retains full ownership of the original Audio, including all copyrights in the sound recording and any lyrics or musical elements contained therein.
The Licensee retains ownership of any new musical elements they create for the New Song.
Publishing and Royalties:
Licensor: 0% Writer’s Share, 0% Publisher’s Share, 0% Master Ownership of the New Song.
Licensee: 100% Writer’s Share, 100% Publisher’s Share, 100% Master Ownership of the New Song.
H. CREDITS & ATTRIBUTION
The Licensee may not use the Licensor’s legal or stage name in the title of the New Song.
If credit is given in the artwork, liner notes, or metadata, it must not imply a collaboration or feature unless expressly agreed in writing.
If any improper credit is published, the Licensee must make a reasonable effort to remove or amend it promptly.
I. VIOLATIONS & REMEDIES
If the Licensee violates any term of this Agreement, the Licensor reserves the right to terminate the license upon written notice.
The Licensee has ten (10) calendar days from receipt of notice to cure any such breach.
If the breach is not cured within the 10-day period, all licensed rights will be revoked without refund, and the Licensee may be held liable for any unauthorized use or damages incurred.
If the Licensee exceeds permitted use (e.g., streaming beyond agreed limits or using the Audio in multiple songs), the Licensee agrees to either:
Purchase the appropriate additional license(s) within ten (10) days; or
Be liable for any income generated and damages caused by the unauthorized use.
J. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the country or state of residence of the Licensor, without regard to conflict of law principles.
Any legal dispute shall be resolved in the courts located in the Licensor’s jurisdiction.
BY PURCHASING AND DOWNLOADING FROM EDMVOCALS.COM, YOU AGREE TO ALL TERMS AND CONDITIONS STATED IN THIS AGREEMENT.
